1. Agreement to these terms

These Terms and Conditions (“Terms”) govern your access to and use of the website, products and services of FlexiGrid Solutions Ltd, trading as FlexiGrid Solutions (“FlexiGrid”, “we”, “us” or “our”), a company registered in Nigeria with RC number 8642152, whose registered office is at Plot 1366, Edmund Madani Crescent, Abuja, FCT, Nigeria.

By accessing our website, creating an account or using any of our services, you agree to be bound by these Terms. If you do not agree, you must not use our services. Please also read our Privacy Policy, which forms part of these Terms.

2. Definitions

  • “Company”, “we”, “us”— FlexiGrid Solutions.
  • “Services”— our website, our Islamic learning platform, PassGuard, and the software development and consulting services we provide.
  • “User”, “you”— any person or organisation using the Services, including guardians, students, teachers, event organisers and clients.
  • “Content”— any text, images, files or other material submitted to or displayed through the Services.

3. Our services

FlexiGrid Solutions provides:

  • Custom software development.
  • Web development and web applications.
  • Mobile application development for iOS and Android.
  • DevOps, cloud infrastructure and deployment services.
  • An online Islamic learning platform connecting guardians and students with teachers.
  • PassGuard, an event planning and sharing platform.

We may add, change, suspend or discontinue any part of the Services. Where a change materially affects a service you are actively using, we will give reasonable notice.

4. Client engagements

Nothing on our website is an offer capable of acceptance, a quotation, or a guarantee of availability, pricing or delivery time. Paid development work is governed by a separate signed proposal, statement of work or master services agreement between you and FlexiGrid, which sets out scope, deliverables, milestones, fees and intellectual property arrangements.

Where there is any conflict between these Terms and a signed engagement contract, the engagement contract prevails for that engagement.

5. Accounts and eligibility

  • You must be at least 18 years old to create an account with us.
  • On our Islamic learning platform, a parent or legal guardian aged 18 or over holds the account and adds the students in their care. The guardian is responsible for those students’ use of the platform, for the accuracy of the information they provide about them, and for any activity carried out under the account.
  • You must provide accurate, current and complete registration information and keep it up to date.
  • You are responsible for keeping your password confidential and for all activity under your account. Tell us immediately at info@flexigridsolutions.com if you suspect unauthorised access.
  • Accounts may not be shared, sold or transferred without our written consent.

6. Acceptable use

You agree not to:

  • Use the Services for any unlawful purpose, or in breach of any applicable Nigerian or international law.
  • Upload or share content that is defamatory, obscene, hateful, harassing, or that infringes another person’s rights.
  • Impersonate another person or misrepresent your affiliation with anyone.
  • Introduce malware, attempt to gain unauthorised access to our systems, or interfere with the operation or security of the Services.
  • Scrape, crawl, reverse engineer, decompile or copy any part of the Services except as permitted by law.
  • Use the Services to send unsolicited bulk messages.

PassGuard organisers:you are responsible for the events you create and for the guest lists you upload or share. You must have a lawful basis for sharing other people’s details with us, must not use the platform to contact people who have asked not to be contacted, and must not share event content that infringes anyone’s rights. Once you share an event, its details may be forwarded onward by recipients — you are responsible for deciding what to include.

Teachers on the learning platform must hold the qualifications they claim, conduct lessons professionally, and safeguard the students they teach. We may suspend or remove any teacher who does not.

We may suspend or terminate access for any breach of this section.

7. User content

You retain ownership of the Content you submit. By submitting Content you grant us a non-exclusive, worldwide, royalty-free licence to host, store, reproduce, adapt (for formatting) and display that Content solely to the extent needed to operate and provide the Services to you and to those you share it with. This licence ends when you delete the Content, except for copies retained in backups for a limited period or where we must keep them by law.

You confirm that you own or have the necessary rights to the Content you submit, and that it does not infringe anyone else’s rights. We may remove Content that we reasonably believe breaches these Terms.

8. Intellectual property

The Services, including our website, software, designs, text, graphics, logos and the FlexiGrid Solutions name and branding, are owned by FlexiGrid or our licensors and are protected by intellectual property law. Nothing in these Terms transfers any of those rights to you. You may not use our branding without our prior written permission.

Ownership of deliverables produced under a client engagement is governed by that engagement’s contract. Unless that contract says otherwise, ownership transfers to the client on full payment, and we retain rights in any pre-existing tools, libraries and know-how used to build them.

9. Fees and payment

  • Fees for development work are set out in the applicable proposal or statement of work.
  • Subscription and lesson fees on our platforms are shown before you commit to a purchase and are payable in advance unless stated otherwise.
  • Invoices are payable by the due date stated. We may charge interest on late payment at the rate permitted by Nigerian law, and may suspend work or access while an invoice remains overdue.
  • Unless stated otherwise, fees are exclusive of VAT and other applicable taxes, which you are responsible for.
  • Payments and teacher payouts are handled by licensed third-party payment providers and are also subject to those providers’ terms.
  • Teacher payouts are made on the schedule published on the platform, net of our stated service fee and any applicable deductions.
  • Refunds are handled in accordance with the relevant engagement contract or the refund policy published for the product, and any non-excludable rights you have under Nigerian consumer law.

10. Third-party services and links

The Services may link to or rely on third-party websites and providers, including hosting, payment and communication services. We do not control those third parties and are not responsible for their content, availability, or practices. Your use of them is subject to their own terms.

11. Disclaimers

Except as expressly stated in a signed engagement contract, the Services are provided “as is” and “as available”. We do not warrant that the Services will be uninterrupted, timely, error-free, or that defects will be corrected, and we give no warranty that they will meet a particular requirement. To the maximum extent permitted by law, we exclude all implied warranties.

We do not endorse or guarantee the conduct, qualifications or performance of any individual teacher, guardian or event organiser using our platforms, and we are not a party to the arrangements between them.

12. Limitation of liability

To the maximum extent permitted by Nigerian law, FlexiGrid will not be liable for any indirect, incidental, special or consequential loss, or for loss of profit, revenue, goodwill, business or data, however arising.

Our total aggregate liability arising out of or in connection with the Services, whether in contract, tort (including negligence) or otherwise, is limited to the total amount you paid us in the twelve (12) months immediately before the event giving rise to the claim.

Nothing in these Terms excludes or limits liability for death or personal injury caused by negligence, for fraud or fraudulent misrepresentation, or for any other liability that cannot be excluded under Nigerian law.

13. Indemnity

You agree to indemnify and hold FlexiGrid, its directors, employees and contractors harmless against any claim, loss, liability, cost or expense (including reasonable legal fees) arising from your breach of these Terms, your misuse of the Services, or Content you submit or share.

14. Suspension and termination

You may stop using the Services and close your account at any time. We may suspend or terminate your access, with notice where reasonably practicable, if you breach these Terms, if we are required to do so by law, or if your use presents a risk to other users or to our systems. On termination, the rights granted to you end immediately; sections that by their nature should survive — including intellectual property, payment obligations, disclaimers, limitation of liability, indemnity and governing law — continue to apply.

15. Changes to these terms

We may update these Terms from time to time. The “last updated” date above shows when they last changed. Where a change is material we will give reasonable notice by email or through the Services. Continuing to use the Services after a change takes effect means you accept the revised Terms.

16. General

  • Severability— if any provision is found to be invalid or unenforceable, the rest of these Terms remain in force.
  • No waiver— a delay or failure to enforce any right is not a waiver of it.
  • Assignment— you may not assign your rights under these Terms without our written consent. We may assign ours in connection with a reorganisation or sale of our business.
  • Entire agreement— these Terms, together with our Privacy Policy and any signed engagement contract, form the entire agreement between us on their subject matter.

17. Governing law and disputes

These Terms and any dispute arising out of them or the Services are governed by the laws of the Federal Republic of Nigeria.

If a dispute arises, we ask that you contact us first at info@flexigridsolutions.com so that we can try to resolve it in good faith. If it cannot be resolved within 30 days, it will be subject to the exclusive jurisdiction of the courts of the Federal Capital Territory, Abuja, Nigeria.
